Maybe because if it’s a gift then his possession of the stock can be construed to be unintentional? Whereas if he acquired it as compensation for services, that’s an active choice to invest.

My (feeble) understanding is that he persuaded other people to invest without disclosing that he was getting compensation.
Paxton is accused of persuading investors to buy stock in a technology firm without disclosing that he would be compensated for it.
