In reality a letter of intent is nothing but BS. They are not legally binding, all they do is state your intentions, you are not even giving your word. All they are good for is for you to show to your boss that, yes, you have been working with client X and he is really interested, your boss might then raise the probability of your deal closing to 85% in his reports.

When the question is one of collusion, or say, conspiracy, then mens rea, or “intent” is pretty fucking relevant. Putting your intentions on a piece of paper labeled “Letter of Intent” with your signature at the bottom is pretty unequivocal. This is as idiotic as the movie villain expounding for several minutes on “how I did it”.
